These Terms of Use (these "Terms") govern your use of the repairamigo.com website, including its pages, FAQ, and download page (the "Site"). Please read them carefully.
1. Acceptance of These Terms
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. If you use the Site on behalf of a business, you confirm that you have authority to accept these Terms for that business, and "you" includes that business. The Site is intended for repair businesses and the people who work for them, and you must be at least 18 years old to use it.
2. Who We Are
The Site is operated by Holy Trinity Investments, LLC, a Texas limited liability company doing business as RepairAmigo ("RepairAmigo," "we," "us," or "our").
3. The Software and the EULA
The RepairAmigo software (the "Software") is licensed under the RepairAmigo End User License Agreement (the "EULA"), which sets out the license conditions and any fees. You must accept the EULA before you download the Software, and again when you first set it up. These Terms apply to the Site. The EULA applies to the Software. If these Terms and the EULA conflict about the Software or anything you download from the Site, the EULA controls.
4. Permitted Use of the Site
You may use the Site to learn about RepairAmigo, read its FAQ and legal documents, and download the Software for use under the EULA. The Site and its content are provided for general information only and are not legal, tax, or technical advice for your business.
5. Prohibited Conduct
You will not, and will not help anyone else to:
- a) circumvent, disable, or interfere with the human-verification check, the download limits, or the EULA acceptance step, including by using automated tools, multiple or rotating IP addresses, or proxies to avoid them;
- b) scrape, crawl, or harvest the Site or its content by automated means, except that general-purpose search engines may index public pages;
- c) attack, probe, scan, or test the vulnerability of the Site or our systems, try to get around any security or access control, overload the Site, or introduce malware or other harmful code;
- d) access or try to access our internal administration portal or any other non-public area of the Site or our systems without our authorization;
- e) give false information, including in the EULA acceptance or in any message to us, or impersonate any person or business;
- f) copy, redistribute, or share the Software or links that bypass the download page, except as the EULA allows; or
- g) use the Site in any way that is unlawful or that harms us, other users, or anyone else.
If you believe you have found a security problem in the Site, please report it to legal@repairamigo.com and do not test it further.
6. Intellectual Property and Trademarks
The Site and its content, including text, graphics, logos, and software, are owned by us or our licensors and are protected by intellectual property laws. The RepairAmigo name and logos are our trademarks. You may not use them without our prior written permission, except to refer accurately to RepairAmigo. Other names and marks on the Site belong to their owners. These Terms do not grant you any right in the Site or its content other than the limited right to use the Site as described in these Terms. Rights in the Software are governed by the EULA.
7. Third-Party Links
The Site may contain links to websites or services that we do not operate. We do not control and are not responsible for their content, policies, or practices. Your use of them is at your own risk and is governed by their own terms.
8. Privacy
Our Privacy Policy explains how we handle personal information collected through the Site and the Software. By using the Site, you acknowledge that your information will be handled as described in the Privacy Policy.
9. No Warranty
THE SITE AND ALL CONTENT AND DOWNLOADS AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE AVAILABLE, UNINTERRUPTED, SECURE, OR FREE OF ERRORS OR HARMFUL COMPONENTS, OR THAT ITS CONTENT IS COMPLETE OR CURRENT. ANY WARRANTY DISCLAIMER FOR THE SOFTWARE IS SET OUT IN THE EULA. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU, BUT ONLY TO THE EXTENT REQUIRED BY LAW.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HOLY TRINITY INVESTMENTS, LLC OR ITS OWNERS, EMPLOYEES, CONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE U.S. DOLLAR (US $1). OUR LIABILITY FOR THE SOFTWARE IS LIMITED AS SET OUT IN THE EULA. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU, BUT ONLY TO THE EXTENT REQUIRED BY LAW.
11. Indemnity
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Holy Trinity Investments, LLC and its members, managers, employees, contractors, and agents from any claims, losses, damages, and costs (including reasonable attorneys' fees) arising out of your misuse of the Site or your breach of these Terms.
12. Changes to the Site and These Terms
We may change, suspend, or discontinue all or part of the Site, including the download page, at any time. We may update these Terms from time to time by posting the updated version on the Site with a new version number and effective date. Changes apply to your use of the Site after the effective date. If you do not agree to a change, stop using the Site.
13. Suspension and Termination
We may suspend or end your access to the Site or to downloads at any time, for any reason, without notice, including by blocking IP addresses. Suspending or ending your access to the Site does not by itself end your license under the EULA, and it never affects your right under the EULA to view and export your shop's data. Sections 5, 6, and 9 through 16 survive any suspension or termination.
14. Governing Law and Venue
These Terms and any dispute arising out of or related to them or the Site are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any lawsuit or legal proceeding arising out of or related to these Terms or the Site must be brought exclusively in the state or federal courts located in Bell County, Texas, and you and we each consent to the personal jurisdiction of those courts. Nothing in these Terms excludes or limits any right or protection under the mandatory laws of your country that cannot be excluded or limited by agreement.
15. Language
These Terms are written in English, and a Spanish translation is provided. To the extent permitted by applicable law, the English version controls if there is any conflict or inconsistency between the English version and a translation.
16. General
These Terms, together with the Privacy Policy and, for the Software, the EULA, are the entire agreement between you and us about the Site. If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure or delay in enforcing any provision is not a waiver. You may not assign these Terms without our consent. We may assign them, including in connection with a merger, acquisition, or sale of our business or assets.
